TRANSITION-MANAGEMENT SERVICE TERMS
The written scope controls the work.
These baseline terms apply when Long Pathways LLC and a client sign a project-specific service agreement or statement of work for coordinator-led transition services. They do not create a service engagement by themselves.

Project-specific scope
The signed proposal, statement of work, or engagement letter identifies services, deliverables, schedule assumptions, fees, deposits, reimbursable expenses, cancellation rights, and the authorized client representative. It controls over these baseline terms when it expressly differs.
Coordinator role
Long Pathways may plan, inventory, document decisions, organize records, communicate with approved participants, present neutral independent-provider information and provide client-directed virtual administrative assistance. The client retains ownership, final decisions and responsibility for legal authority.
Excluded professional services
Unless a separate lawful written engagement expressly states otherwise, Long Pathways does not provide legal, medical, financial, tax, appraisal, fiduciary, brokerage, auction, real-estate, clinical, counseling, household-goods carrier, or household-goods broker services.
Client authority and cooperation
The client represents that they own the property or hold sufficient current authority to direct the work. The client will disclose disputes and restrictions, identify approved participants, provide safe and timely access, review decisions and reports, and promptly communicate material changes. Long Pathways may pause disputed or unsafe work.
Belongings and dispositions
Long Pathways does not take title to client property, receive sale proceeds, or issue donation receipts. The client or duly authorized representative approves each disposition and directly contracts with buyers, sellers, auctioneers, consignees, charities, or other recipients unless the project agreement clearly provides a different lawful arrangement.
Providers
Outside providers are independent and the client or authorized representative retains final selection authority. Under the Transition Assessment & Pathway Plan, Pathways Start and Guided Pathways, the client contracts with and pays the provider directly. When Managed Provider Administration is included in a signed Pathways Complete or Pathways Custom scope, Long Pathways may organize proposals and supporting documents, coordinate schedules, communicate approved instructions, administer authorized project payments and maintain provider records. Unless a signed addendum expressly establishes a different lawful relationship for a specifically identified non-regulated service, the provider’s contract remains directly with the client; Long Pathways is not a party to that contract. Long Pathways does not become the provider’s employer, joint venturer, guarantor or insurer and does not guarantee performance.
Client-directed virtual assistance
At the client’s request, Long Pathways may perform clerical and administrative tasks related to the transition, including organizing information, facilitating communications, maintaining schedules and recording client decisions. Unless separately agreed in writing and legally permitted, Long Pathways has no authority to sign contracts, accept estimates, incur provider charges, select providers or otherwise bind the client. The client remains responsible for reviewing and transmitting substantive provider instructions.
Provider claims and concerns
The independent provider remains responsible for its personnel, pricing, custody, schedule, insurance, work, warranties, claims, and regulatory compliance. A claim arising from provider work should be made under the client’s contract with that provider. The client should also notify Long Pathways when the issue affects coordination, safety, privacy, records, or whether the provider should be presented as a future option. Long Pathways remains responsible for duties expressly assumed in its own written agreement and for conduct that cannot lawfully be excluded or limited.
Moving and shipping boundary
For interstate household-goods moves, the client requests and reviews estimates, selects the provider, contracts with and pays the licensed carrier or registered broker directly. Long Pathways provides administrative support surrounding the transition but does not solicit carrier bids, quote or negotiate transportation charges, book or tender a shipment, accept transportation payments, select valuation coverage, sign carrier documents or alter transportation terms. Parcel shipping and approved fulfillment are separately documented and do not transfer ownership or authority.
Fees and changes
Fees, billing schedule, service retainers, expenses, and cancellation terms appear in the project-specific agreement. A service retainer secures Long Pathways planning and coordination services. When outside expenses will be administered through Long Pathways, the client may be asked to fund a separate project-cost reserve. The signed scope identifies permitted expenses, approval thresholds, reporting and reconciliation. Funding a retainer or reserve does not create or expand insurance coverage. Work outside scope requires written approval.
Safety and site conditions
The client will disclose known hazards, restricted areas, weapons, infestations, unsafe structures, and other material conditions. Long Pathways may stop work when conditions threaten people, property, privacy, or legal compliance. Emergency services should be contacted for urgent danger.
Records and privacy
Project information is handled under the Privacy Policy, relevant privacy notices, and authorized household permissions. Long Pathways may keep reasonable activity, consent, payment, and completion records. The client is responsible for preserving original legal, tax, appraisal, title, and medical records with the appropriate professional.
Changes, cancellation and closeout
Either party may request a scope change or end future work as provided in the project agreement. Accrued fees, approved expenses, secure return or transfer of records, provider commitments, property access, and unfinished tasks will be addressed in a written closeout.
Insurance and contractual responsibility
Insurance is separate from contractual responsibility. A certificate of insurance is informational, does not amend coverage, does not create rights in a certificate holder, and does not insure a client, independent provider, item, or outcome unless the applicable policy expressly provides otherwise. Published insurance limits do not expand or reduce the duties, remedies, or any liability limitation stated in a signed project agreement.
Risk allocation and law
A project-specific agreement may include conspicuous provisions addressing warranties, indirect or consequential damages, indemnity, and a reasonable limitation of liability appropriate to the written scope. Any such limitation applies only as written and does not limit liability that cannot lawfully be waived, including applicable protections concerning fraud, willful misconduct, gross negligence, or non-waivable consumer rights. Arizona law governs without displacing mandatory law that applies to the client or work. The parties will first attempt good-faith resolution; unresolved disputes may be brought in the courts serving Maricopa County, Arizona.
